Terms of Service for CityTennis

Please read these Terms of Service ("Terms," "ToS") carefully before using the CityTennis mobile and web application (the "App," "Service") operated by CityTennis ("us," "we," or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Eligibility and Account Registration

1.1. Eligibility: You must be at least 13 years old to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement and are legally capable of entering into a binding contract. 1.2. Account Information: When you create an account, you agree to provide accurate, complete, and current information, including your full name, email, phone number, and selected user role (Player, Coach, or Team Captain). You are responsible for updating your profile to keep information current. 1.3. Google Sign-In: You may register and log in using your Google account. By doing so, you authorize CityTennis to access your basic profile information (name, profile picture) and email address from your Google account. Our use of this data is strictly governed by our Privacy Policy and Google API Services User Data Policy, including Limited Use requirements. 1.4. Account Security: You are responsible for safeguarding the password and other credentials that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. 1.5. User Roles: The App offers different user roles (Player, Coach, Team Captain). You agree to accurately represent your role and fulfill the responsibilities associated with it. Coaches and Team Captains acknowledge that they are responsible for accurate information related to their players/teams.

2. User Conduct and Responsibilities

2.1. Acceptable Use: You agree to use the App solely for its intended purpose of connecting tennis players, organizing matches, tracking progress, and participating in challenges. 2.2. Prohibited Conduct: You agree not to: * Use the Service for any unlawful purpose or in any way that violates any applicable local, national, or international law or regulation. * Engage in any form of harassment, hate speech, discrimination, or abusive behavior towards other users. * Post or transmit any content that is offensive, defamatory, obscene, or infringing on the rights of others. * Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to CityTennis. * Interfere with or disrupt the integrity or performance of the Service or the data contained therein. * Misrepresent your identity, age, location, or tennis skill level (e.g., submitting false ratings or session data). * Create multiple accounts without explicit permission. * Upload viruses or malicious code or engage in any activity that could disable, overburden, or impair the proper working of the Service. * Manipulate or attempt to manipulate the point system, challenge outcomes, or leaderboard rankings through fraudulent means. 2.3. Accuracy of Submissions: You are responsible for ensuring the accuracy of all session submissions, challenge results, and any other data you input into the App. Falsification of data may lead to penalties, including point forfeiture and account suspension or termination. 2.4. Fair Play in Challenges: All challenge matches must be conducted in good faith and according to agreed-upon rules. Any disputes will be handled through the App's designated dispute resolution process. 2.5. Messaging: Use the messaging features respectfully. Harassment, spam, or unsolicited commercial messages are prohibited.

3. User-Generated Content

3.1. Content Definition: User-Generated Content ("UGC") includes, but is not limited to, profile photos, session photos and videos, gallery photos, notes, comments, messages, location details, and any other information you upload, post, or transmit through the App. 3.2. Ownership: You retain all ownership rights in your UGC. 3.3. License Grant: By submitting UGC to CityTennis, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your UGC in connection with the Service and our (and our successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels. This license specifically includes the right to display your profile photo and other public information to other users and in public feeds within the App. 3.4. Representations and Warranties: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the licenses outlined in these Terms, and that your UGC does not infringe upon the intellectual property or other rights of any third party. 3.5. Content Moderation: We reserve the right, but are not obligated, to monitor, review, edit, or remove any UGC at our sole discretion, including content that violates these Terms or is otherwise objectionable. We are not responsible for any failure or delay in removing such content. 3.6. Responsibility for UGC: You are solely responsible for your UGC and the consequences of posting or publishing it. We are not responsible for any loss or damage resulting from your UGC.

4. Point System, Challenges, and Rewards

4.1. Points: CityTennis features a points system ("Points") that users can earn through various activities (e.g., completing onboarding, submitting verified sessions, social interactions, referrals). Points are intended to incentivize engagement and progress within the App. 4.2. No Monetary Value: Points have no cash value and cannot be exchanged for cash, directly transferred, or sold outside of the App's designated redemption system. 4.3. Challenge Stakes: When participating in a Challenge Match, you agree to stake a certain amount of Points. These staked Points ("Locked Points") will be held by CityTennis until the challenge is completed and a winner is determined or a dispute is resolved. If you do not have sufficient available Points, you will be unable to create or accept a challenge. 4.4. Challenge Outcomes: The winner of a Challenge Match will receive the combined Locked Points from both players. The determination of a winner, whether by mutual confirmation or dispute resolution, is final and binding within the App. 4.5. Reward Redemption: Points may be redeemable for various rewards, such as gift cards, through our third-party redemption partner (e.g., Tango Card). All redemptions are subject to the terms and conditions of the third-party provider, availability of rewards, and our own policies, including sufficient available Points. Once Points are redeemed, the transaction is generally final. 4.6. Fraud and Abuse: Any attempt to defraud, manipulate, or unfairly gain Points or rewards may result in point forfeiture, suspension, or termination of your account, and exclusion from future challenges or reward programs. We reserve the right to audit Point balances and adjust them as necessary.

5. Privacy Policy

Your privacy is important to us. Our Privacy Policy, available at www.ctytnns/privacy, explains how we collect, use, store, and protect your personal information, including Google user data. By using the Service, you agree to the terms of our Privacy Policy.

6. Intellectual Property Rights

6.1. App Ownership: The Service and its original content (excluding UGC), features, and functionality are and will remain the exclusive property of CityTennis and its licensors. The Service is protected by copyright, trademark, and other laws of both the California and foreign countries. 6.2. Restrictions: Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of CityTennis. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without express written permission by us.

7. Links To Other Websites

Our Service may contain links to third-party web sites or services that are not owned or controlled by CityTennis.

CityTennis has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that CityTennis shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third-party web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

9. Indemnification

You agree to defend, indemnify and hold harmless CityTennis and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) your User-Generated Content.

10. Limitation Of Liability

In no event shall CityTennis, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

11. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

CityTennis, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Furthermore, CityTennis does not guarantee the availability of matches, accuracy of user-provided skill levels, or the condition of external tennis courts listed within the App. Any interactions or disputes between users are solely between those users, and CityTennis disclaims any responsibility for the outcome of such interactions, except for providing a mechanism for dispute resolution within the Challenge system.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of California, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in California.

14. Changes to Terms of Service

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
